1. Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the BlockAdX platform, websites, dashboards, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and all referenced policies (including our Privacy Policy and Cookie Policy). If you do not agree, you must not use the Services.

You represent and warrant that you are at least the age of majority in your jurisdiction and have full legal capacity to enter into these Terms on your own behalf or on behalf of the entity you represent.

2. About BlockAdX

BlockAdX ("BlockAdX", "we", "us", or "our") operates a blockchain-based advertising network that connects publishers, advertisers, and other ecosystem participants to buy, sell, and measure digital advertising inventory using blockchain and related technologies.

Additional details about our services, features, and policies may be provided on our website, in your account dashboard, or in specific agreements or addenda applicable to you. In the event of conflict between these Terms and a separate signed agreement, the signed agreement will generally prevail.

3. Eligibility and Account Registration

To use certain parts of the Services (such as publisher or advertiser dashboards), you may be required to create an account and provide accurate, current, and complete information. You agree to keep your account information updated.

You are responsible for maintaining the confidentiality of your login credentials, private keys, API keys, and any associated wallet or blockchain credentials, and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use or suspected breach of security.

4. Use of the Services

Subject to these Terms, BlockAdX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes related to digital advertising, in accordance with the roles applicable to you (for example, publisher, advertiser, developer, or partner).

You agree not to:

·         Use the Services for any illegal, fraudulent, or abusive purpose, including activities that violate applicable advertising, consumer protection, financial, or data protection laws.

·         Interfere with or disrupt the integrity or performance of the Services or underlying blockchain networks.

·         Attempt to gain unauthorized access to any accounts, systems, or networks.

·         Reverse engineer, decompile, or attempt to derive the source code of any part of the Services, except where permitted by law.

·         Use the Services to distribute malware, conduct ad fraud (including bot traffic, invalid impressions, or deceptive placements), or engage in misleading advertising practices.

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, applicable laws, or policies referenced herein.

5. Publisher and Advertiser Responsibilities

5.1 Publisher Obligations

If you are a publisher, you are responsible for:

·         Ensuring your sites, apps, or properties comply with applicable laws and industry standards (including content standards, consumer protection, and data protection requirements).

·         Implementing BlockAdX tags, SDKs, or integrations correctly and not modifying them in a way that could lead to misreporting, fraud, or security issues.

·         Accurately describing your inventory, traffic, and audience, and avoiding any form of invalid traffic or artificial inflation of metrics.

5.2 Advertiser Obligations

If you are an advertiser, you are responsible for:

·         Ensuring your ads comply with applicable laws and regulations (including advertising, financial promotion, gambling, health, and other sector-specific rules as relevant).

·         Ensuring that your ads do not infringe on intellectual property, violate third-party rights, or contain prohibited content (such as hate, incitement to violence, or unlawful discrimination).

·         Providing accurate campaign parameters and budgets, and honoring obligations for any blockchain-based or off-chain payment arrangements.

BlockAdX reserves the right (but is not obligated) to review, reject, or remove any ads or inventory that we reasonably consider non-compliant or inappropriate.

6. Blockchain and Digital Assets

BlockAdX may use one or more public or permissioned blockchain networks to record certain transactions, such as ad auctions, impressions, settlements, and token transfers. You acknowledge and understand that:

·         Data written to many blockchains may be immutable and publicly accessible, meaning it cannot easily be altered or deleted once confirmed.

·         Transactions may be subject to network fees ("gas fees") and network delays, and are not controlled by BlockAdX.

·         The value of any digital assets used in or with the Services (such as tokens or cryptocurrencies) may be volatile and subject to market risk.

You are solely responsible for securing any wallets, private keys, seed phrases, and related credentials used in connection with the Services. BlockAdX does not have access to your private keys and cannot recover them if lost.

7. Fees, Payments, and Taxes

BlockAdX may charge fees for certain services, such as transaction fees, service fees, or revenue shares. Fees and payment terms will be disclosed in your account, separate agreements, or relevant documentation.

You are responsible for any taxes, duties, or similar governmental assessments associated with your use of the Services, including any income, value-added, or withholding taxes, as required by applicable law. BlockAdX may withhold any taxes it is legally required to withhold.

8. Data Protection and Privacy

Your use of the Services may involve the collection and processing of personal data, including pseudonymous identifiers such as cookies, device identifiers, or wallet addresses in certain circumstances. Use of the Services is subject to our Privacy Policy and Cookie Policy, which explain how we handle personal data and tracking technologies.

You agree to comply with all applicable data protection and privacy laws (for example, GDPR, CCPA, and other local laws) when using the Services, including when acting as a controller or processor of personal data, as applicable. You are responsible for providing any required notices and obtaining any required consents from end users.

9. Intellectual Property

BlockAdX and its licensors own all rights, title, and interest in and to the Services and all associated content, including software, interfaces, design, text, graphics, logos, and trademarks, except for User Content and third-party materials.

Subject to these Terms, you retain ownership of any content, ads, creatives, or materials you upload or provide to the Services ("User Content"). You grant BlockAdX a worldwide, non-exclusive, royalty-free license to use, host, reproduce, modify (for formatting and technical purposes), and display your User Content as necessary to provide, operate, improve, and market the Services, and as otherwise permitted in these Terms or in a separate agreement.

You must not use any BlockAdX trademarks or branding without our prior written permission, except as permitted by applicable law.

10. Third-Party Services and Links

The Services may integrate with or contain links to third-party websites, services, or blockchain protocols that are not owned or controlled by BlockAdX. BlockAdX does not endorse or assume responsibility for any third-party content, products, services, or practices.

Your interactions with third-party services are solely between you and the relevant third party, and may be subject to that third party's terms and policies.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Without limiting the foregoing, BlockAdX specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

BlockAdX does not warrant that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected. BlockAdX does not guarantee any specific advertising results, revenue levels, or the future value or performance of any digital assets.

12. Limitation of Liability

To the fullest extent permitted by applicable law, BlockAdX and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your use of or inability to use the Services.

To the extent permitted by law, BlockAdX's aggregate liability for any claims arising out of or relating to the Services or these Terms will be limited to the greater of (a) the total fees paid or payable by you to BlockAdX for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) a fixed monetary amount you agree with your counsel (for example, USD 1,000).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless BlockAdX and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

·         Your use of the Services;

·         Your violation of these Terms or any applicable law;

·         Your User Content; or

·         Any dispute between you and a third party relating to your use of the Services.

14. Suspension and Termination

BlockAdX may suspend or terminate your access to the Services or your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, applicable laws, or policies, or if necessary to protect the security, integrity, or reputation of the Services.

You may stop using the Services and close your account at any time, subject to any separate contractual obligations and any continuing obligations that by their nature should survive termination (such as payment obligations, confidentiality, and indemnification).

15. Changes to the Terms

BlockAdX may update or modify these Terms from time to time. When material changes are made, we will update the "Last updated" date and may provide additional notice (for example, via the Services or by email), where required by law.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction you select in consultation with your legal counsel, without regard to its conflict of law principles. You and BlockAdX agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for resolution of any disputes.

Any mandatory consumer rights or protections available under the laws of your residence country will remain unaffected by these provisions where such laws apply and cannot be waived by contract.

17. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

No failure or delay by BlockAdX in exercising any right or remedy under these Terms will constitute a waiver of such right or remedy. You may not assign or transfer these Terms or any rights or obligations hereunder without BlockAdX's prior written consent, and any attempted assignment without such consent will be null and void. BlockAdX may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

19. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any separate agreements you have signed, constitute the entire agreement between you and BlockAdX regarding the Services and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral.
